From the supplier: There is a debate among observers of corporate governance over the issue of whether the titles of CEO and chairman of the board should be held by two persons or just one. Those who believe in splitting these titles contend that having two people serve as chief executive and board chairman will create a system of checks and balances, therefore ensuring that there is sufficient discipline of top management. On the other hand, those who do not subscribe to this idea claim that separating the chairmanship from the CEO post has several undesirable consequences. These include the expensive and incomplete transfer of company information between the CEO and the chairman, the question of who will monitor CEO performance, the lack of performance incentives for chief executives, and the confusion created by having two figureheads. Studies lend support to the argument against separation.
